Separating investment activity from trading risk
A successful trading company had accumulated substantial cash reserves. The owner wanted to keep future investment activity separate from the operating business and reduce the concentration of surplus funds within the trading company.
Outcome: A new group structure separated the trading and investment activities. The reorganisation was implemented using the relevant tax provisions so that no immediate tax charge arose from the restructuring.

The restructuring was designed around the relevant tax reorganisation provisions, and HMRC clearance was obtained in advance in relation to the proposed transaction.
